<JETRO e-Venue Terms and Conditions>

 Japan External Trade Organization (hereinafter referred to as "JETRO") hereby establishes the following Terms and Conditions (hereinafter referred to as these "Terms and Conditions") for the provision of services on the JETRO e-Venue operated by JETRO. Users of this service are required to agree and comply with these Terms and Conditions, JETRO's Privacy Policy, Privacy Policy of JETRO Website, and the Privacy Policy for Personal Data of Customers in Europe and U.K..

1 Definition

 In these Terms and Conditions, the following terms and expressions shall have the meanings set out below, unless the context requires a different interpretation;

  1. The "Site" refers to “JETRO e-Venue”, a business matching site operated by JETRO.
  2. The "Service" refers to the service provided by JETRO on the Site, as defined in Article 2.
  3. The "Content" refers to all content, text, images, data, information and other material shown on the Site and made available to Users.
  4. "User(s)" refers to legal entities, persons belonging to legal entities, or individuals who have registered for the Service. Individuals wishing to register for the usage of the Service are asked to register as a business operator.
  5. "Prospective User(s)"refers to persons who wish to register for the Service.
  6. "User Registration" refers to registrations as a legitimate User, which requires JETRO to issue IDs and passwords in response to applications for use of the Service.
  7. The "Business Proposal Registration" refers to registrations of information regarding business proposals on the Site.

2 Services

 JETRO provides various services on the Site to realize the purpose of the Service, including the services specified in the following items. For description of each individual service, please refer to the Site.

  1. An online matching service where Prospective Users register and engage in an open business exchange as Users in accordance with these Terms and Conditions.
  2. A closed matching service where registered Users can view each other's information or interact via chat etc. by attending various services provided by JETRO and by being authorized the use of such services by JETRO.

3 Outsourcing

 JETRO may outsource, all or part of, its Service, including secretariat operations, system development, maintenance, operation, and other tasks as necessary.

4 Burden of Cost

(1) JETRO does not currently charge any fee for the use of the Site, but reserves the right to set or revise such fees in the future.

(2) The fees for the use of the Site shall be set or revised by JETRO with three (3) months prior notice. JETRO shall not be liable to User in the event that such fees are set or revised.

(3) Notwithstanding the provisions of the preceding paragraph, in the event that User receives other services of JETRO incidentally or related to the Service, User may be required to bear costs related to such services. In addition, all costs, taxes, and dues necessary to set up the usage environment as stipulated in Article 8, shall be borne by User.

5 Expiry Date

 There is no specific time limit for the use of the Service. However, if certain reasons arise, JETRO may rescind the registration of individual Users in accordance with the provisions of Article 13, or discontinue or terminate the provision of the Service in accordance with the provisions of Article 15.

6 User Registration

(1) Prospect Users who wish to use the Service shall agree to these Terms and Conditions and apply for User Registration in the prescribed manner.

(2) Prospective Users who have applied for User Registration will be properly registered Users from the time JETRO accepts the applications and sends out an email notifying approval of User registration. From that point on, the User may begin to use the Site, including viewing information on the Site and registering business proposals. In addition, registered Users may further start to use the closed matching function by participating in various services additionally provided by JETRO and by being authorized by JETRO. In this case, JETRO may inspect, obtain and manage the information and chat contents provided among the Users authorized to use such functions (hereinafter referred to as the "Authorized Users") for the purposes set forth in Article 14, Item 9, to the extent and in the manner permitted by the personal information protection laws, data protection laws and other laws and regulations of Japan and related countries or regions, and the Authorized Users shall agree to this.

(3) Prospective User shall provide a permanent email address upon applying for User Registration. Please note that in principle, JETRO will not make any contact by telephone or any other means.

(4) Should JETRO deems it necessary, it may register an application for User Registration on behalf of a Prospective User.

(5) In the event that Prospective User or User falls under any one of the following categories, JETRO may, at its discretion, refuse to accept the application for User Registration or rescind the User Registration even after acceptance.

  1. If the application for User Registration is made without following the method prescribed by JETRO;
  2. If Prospective User has been punished in the past for violating these Terms and Conditions or any other terms and conditions established by JETRO;
  3. If Prospective User has registered by fraudulent means;
  4. If Prospective User has registered information other than accurate information about itself;
  5. If Prospective User is an antisocial force or a member thereof, or is substantially involved with any such parties;
  6. If Prospective User breaches or is likely to breach these Terms and Conditions; or
  7. In any other cases where JETRO deems it inappropriate.

7 Use of the Site

(1) After completing the User Registration for the Site, User may register its business proposal and post related information on the Site.

(2) In general, the number of business proposals viewable to other Users on the Site which each User may register, is no more than 10 business proposals.

(3) Regarding Business Proposal Registration, User should only provide content and materials that are not likely to affect the function of the Site nor to cause technical difficulties.

(4) JETRO may, should it deem it necessary, act as an agent for the Business Proposal Registration in addition to acting as an agent for the User Registration under Article 6.

(5) Should User be requested by a third party to provide additional information in relation to the information on the Site registered by User for its business proposal, User must provide such information by means of brochures, samples or otherwise within a reasonable and appropriate time.

(6) Should User wish to set up a link, etc. to the Site on other websites, social networking services, or other media, it must obtain prior approval of JETRO via email (e-venue@jetro.go.jp). User is also requested to notify JETRO by e-mail (e-venue@jetro.go.jp) upon completion of the link, etc. as soon as possible after the link, etc. has been established.

(7) Please make sure the link is set to the top page of JETRO e-Venue (https://e-venue.jetro.go.jp).

(8) Even after approval, JETRO will instruct User to delete the link or modify the settings should it deem the User's link or other settings to be inappropriate. In such cases, User must follow the instructions given by JETRO.

(9) User should understand that JETRO is under no obligation to take any back up of information and the back up of any necessary information shall be made by the User itself.

8 Usage Environment

(1) User shall, at its own responsibility and expense, set up necessary usage environment for accessing the Site (including all software, hardware, network connections and security measures such as virus protection).

(2) Cookies must be activated when accessing the Site.

9 ID and Password Management

(1) User shall be responsible for the strict management of its own ID and password.

(2) User shall contact JETRO if User suspects any unauthorized use of its ID and/or password, or if there is any risk that the ID and/or password may be used by others.

(3) In the event that the ID and password used by User is used by another person, User shall be liable for all damages resulting therefrom and shall make no claim against JETRO.

10 Change of Registered Information

 Should there be any changes in the User's registered information, please complete the procedure to make the changes as soon as possible. JETRO will not be held responsible for any problems that may arise as a result of failing to do so.

11 Cancellation of User Registration

 Should User wish to cancel its registration (withdrawal), User must follow the procedure prescribed by JETRO for the cancellation of its registration.

12 Compliance

(1) User shall comply with all relevant laws and regulations in using the Site. User shall also comply with any instructions given by JETRO.

(2) In addition to these Terms and Conditions, User shall, for User Registration and use of the Site, follow all procedures, formats, displays, and hours of use established and revised from time to time by JETRO.

(3) User shall take full responsibility for its own actions in using the Service.

(4) Upon Business Proposal Registration, User does so with the understanding that it is solely responsible for the source of the information as well as obtaining necessary permission.

(5) User shall deal with all requests, claims, damages, losses, liabilities, costs, attorney's fees, etc. arising from the use of the Site, violation of these Terms and Conditions, or business negotiations or transactions with other Users or third parties through the Site at its own expense and responsibility, and shall not cause any inconvenience or burden to JETRO, its related organizations, and the officers, employees, and contractors of JETRO and its related organizations (hereinafter collectively referred to as “JETRO Affiliates”). Should JETRO Affiliates receive a complaint, lawsuit, or other claim, and incurs certain expenses (including, but not limited to, compensation for damages, etc., as well as consolation payment and legal fees), JETRO Affiliates will seek indemnification to User, and User shall indemnify JETRO Affiliates for such expenses.

(6) User is not permitted to post on the Site or to engage in business discussion or technical exchanges through the Site any content that may violate import/export regulations or national security laws or regulations, or that may constitute espionage. In addition, User is requested to check and correct the details of the contents of any food, medicines or other goods (items, labelling, etc.) that may be in breach of Japanese national laws and regulations, and of the items restricted or prohibited under export control regulations or international treaties such as the Washington Convention.

13 Prohibited Acts

(1) In using the Service, User shall not engage in any of the following acts, or acts that may lead to such acts:

  1. Defaming or slandering the reputation or credibility of, or violating the privacy rights of, JETRO, Users, or third parties;
  2. Disclosing the confidential or personal information of JETRO, Users, or third parties without prior permission;
  3. Infringing the intellectual property rights or know-how of JETRO, Users or third parties;
  4. Interfering with the activities of JETRO, Users or third parties by means of unfair infringements or transactions, etc.;
  5. Causing problems in transactions or payment with JETRO, Users, or third parties;
  6. In addition to items 4 and 5, acts that cause economic damage to JETRO, Users, or third parties;
  7. Threatening behaviour towards JETRO, Users, or third parties;
  8. Transferring, pledging or lending ID etc. to a third party:
  9. Obtaining an ID, etc. on behalf of a person whose use of the ID, etc. has been suspended:
  10. Registering multiple email addresses and holding multiple IDs etc.;
  11. Interfering with the Site or other JETRO systems, such as mass access, retrieval, data collection, downloading, unauthorized access, system attacks, modifications, or infection by computer viruses;
  12. Posting information, which has not been authorized or is not true, as registration information;
  13. Obtaining a letter of invitation for a visa and then cutting off contact;
  14. Requesting the opening of a local bank account for the purpose of fraudulent asset management;
  15. Contacting repeatedly for the purpose of unilateral solicitation or sales, pyramid schemes, pyramid selling, or any other improper purposes;
  16. Registering inaccurate, misleading or false information;
  17. Registering images, texts, etc. that are irrelevant with the purpose of the Site;
  18. Registering obscene information or other acts that may cause discomfort or disgust to the viewers;
  19. Other than as set out in clauses 12 to 18, acts that interfere with the operation of the Service;
  20. Fraudulent or other criminal activities;
  21. Violating the law or public order and morals;
  22. Non-compliance or violating of human rights;
  23. Allowing the usage of registered ID to an antisocial force or its members, or a person substantially involved in such an antisocial force or its members;
  24. Any other action that is in conflict with these Terms and Conditions, agreements with JETRO, or contrary to JETRO's instructions; or
  25. Any other acts that JETRO deems inappropriate.

(2) In the event that JETRO deems that any of the items in the preceding paragraph applies or is likely to apply, JETRO may, at its discretion and without prior notice to User, take the necessary measures, such as deleting or changing User's registration, suspension or termination of the authorization to use the closed matching function, deleting or changing the Business Proposal Registration, sending a warning email to the persons who contacted such User through the Site, or publishing such information on the Site.

(3) JETRO shall not be liable to User for any disadvantage etc. incurred as a result of or in connection with the preceding paragraph.

14 Intellectual Property Rights

(1) Copyrights, trademark rights and other intellectual property rights (hereinafter referred to as "Intellectual Property Rights") related to the Site belong to JETRO, and Intellectual Property Rights related to the content belong to the Users, etc. who have posted such content, and are protected by Copyright Act of Japan (Act No. 48 of 1970), Trademark Act of Japan (Act No. 127 of 1959), Unfair Competition Prevention Act of Japan (Act No. 47 of 1993), and other relevant laws.

(2) User may use the Site only for the purposes for which it was created and to the extent permitted by these Terms and Conditions and the relevant legislation, and User may print copies of the Content solely for its own use.

(3) User may not reproduce, show, publicly transmit (including, but not limited to, making transmittable; the same applies hereinafter), display, distribute, transfer, lend, adapt, translate, or make secondary use of the Site or the Content (except for the content posted by User itself) without the prior written or electronic permission of JETRO. .

(4) Reproducing, showing, publicly transmitting, displaying, distributing, transferring, lending, adapting, translating or making secondary use of the Contents without the consent of the copyright holder is an infringement of copyright and the infringer may be held criminally liable.

(5) All content registered by User to the Site or provided to JETRO, shall be deemed to be non-confidential or non-proprietary information of User. As such, it may be disclosed on the Site or by other relevant agencies and organizations throughout the world beyond the control of JETRO and may be viewed, printed or otherwise used by any person.

(6) User is obliged to ensure that it holds the legitimate Intellectual Property Rights of the content that it registers on the Site, or, should the rights be attributed to a third party, it has completed the necessary rights handling (including, without limitation, a non-exclusive licence with the right to sub-license, as well as the non-enforcement of moral rights) that meets the conditions of these Terms and Conditions.

(7) User warrants that User will only register on the Site or provide JETRO with content that is fully in line with the objectives of the Site and these Terms and Conditions, and that User will not infringe the Intellectual Property Rights, moral rights, or any other rights of any third party.

(8) JETRO shall be deemed to have a free, perpetual, irrevocable, non-exclusive license with the right of sublicense to reproduce, show, publicly transmit (including, but not limited to, preparing for the public transmission), display, distribute, transfer, lend, adapt, translate and make secondary use of all content provided by User to the Site or JETRO in any form or medium. User shall not exercise any moral rights or, in the case of content which belongs in whole or in part to a third party, shall ensure that the third party does not exercise any moral rights.

(9) JETRO will appropriately manage all information provided by User to the Site or JETRO. Such information may be used by JETRO or related ministries or agencies for the purpose of business follow-up, market research, business activity evaluation, or business improvement (including research and policy recommendation activities for this purpose). In addition, within the scope of such purposes, the information may be provided to the government and other parties designated by the government, including relevant ministries, agencies and government research institutions, and may be statistically processed and published as results.

15 Restrictions on Use

(1) Should any of the following events occur, JETRO reserves the right, without prior notice, to (i) modify, edit, translate, discontinue, restrict, or terminate all or any part of these Terms and Conditions, the Service, the Site, the Content, or the links; (ii) suspend, restrict, or terminate a particular User's access to, registration with, and use of the Site; or (iii) suspend, restrict, or terminate the publication of the registered business proposal on the Site.

(2) Natural disasters, terrorism, war, political unrest, entry restrictions, infectious diseases, labour disputes or other force majeure events.

(3) A system failure or the likeliness of one in relation to the Site.

(4) A change in the circumstances, on which the decision was based at the time of User Registration application approval.

(5) A security risk in User's PC or other terminal environment, Internet connection or security situation.

(6) Violations of the prohibitions set out in Article 13.

(7) Failure to reach User's registered email address, or not receiving any reply from User within 14 days of sending an email.

(8) In addition to the above, when JETRO judges it appropriate.

(9) JETRO shall not be liable to User for any loss or damage arising from or in connection with the abovementioned.

16 Information Management

(1)In addition to the applicable national data protection legislation, the following policies apply to the Service.

(2) JETRO will comply with the security standards set forth in JETRO's Personal Information Protection Rules and strive to take appropriate preventive measures to ensure that the Site is not subject to computer virus infection, unauthorized access, cracking, etc. (hereinafter referred to as "System Breach, etc.").

17 Confidentiality of Communications

(1) In addition to the provisions of the preceding article, JETRO will protect the confidentiality of Users' communications in accordance with the Telecommunications Business Law of Japan (Act No. 86 of 1984).

(2) In the following cases, JETRO shall not assume the obligation of confidentiality set forth in the preceding paragraph to the extent set forth in the respective items.

  1. In the event of a compulsory disposition or court order pursuant to the provisions of the Code of Criminal Procedure of Japan (Act No. 131 of 1948) or the Act on Interception of Communications for the Purpose of Criminal Investigation of Japan (Act No. 137 of 1999): Within the scope of such disposition or court order.
  2. In the event of an administrative disposition based on laws and regulations: Within the scope of the relevant disposition or order.
  3. In the event JETRO judges that the requirements for a disclosure request based on Article 4 of the Act on the Limitation of Liability for Damages of Specified Telecommunications Service Providers and the Right to Demand Disclosure of Identification Information of the Senders of Japan (Act No. 137 of 2001) are met: Within the scope of the relevant disclosure request.
  4. In the event JETRO judges that it is necessary for the protection of the life, body or property of a third party: To the extent necessary for the protection of the life, body or property of a third party.
(3) Pursuant to the provisions of Article 4, paragraph 2 of the Act on the Limitation of Liability for Damages of Specified Telecommunications Service Providers and the Right to Demand Disclosure of Identification Information of the Senders of Japan (Act No. 137 of 2001), JETRO shall hear the opinion of the sender of the relevant registered information as to whether or not to disclose the information. However, this shall not apply should it not be possible to contact the sender of the infringing information pertaining to the request for such disclosure, or there be other special circumstances.

18 Limitation of Liability of JETRO

(1) For the convenience of Users, the Site may include content, links, and other information provided by third parties over whom JETRO has no control or responsibility, or information that has been translated by JETRO for convenience.

(2) JETRO is under no obligation to monitor, control or restrict the use of the Site.

(3) JETRO does not guarantee that the content provided by Users do not infringe the rights of third parties.

(4) JETRO is under no obligation to register the content or to provide any information accompanying to the content or pertaining to User.

(5) JETRO makes no warranties, explicitly or implicitly, with respect to the Site (including the Content, hardware, software, and links) with respect to merchantability, fitness for a particular purpose, User’s rights, non-infringement of third party rights, results, accuracy, completeness, accessibility, compatibility, operational stability, security, or otherwise, unless otherwise provided herein. Users shall use the Site at their own risk and expense, to the extent permitted by law.

(6) In no event shall JETRO be liable for any direct, indirect, consequential, special, incidental or punitive damages or lost profits arising out of the connection ability of the internet, the Site, the Content, and links or otherwise, whether based on contract, tort, no-fault liability or any other cause. This shall apply even if JETRO has been advised of the possibility of such damage.

(7) JETRO is not a party to, nor does it provide consultation services for, nor does it assume any responsibility for any contracts entered into by Users through the Site.

(8) In the event that JETRO acts as an agent for User Registration as stipulated in Article 6, Paragraph 2, or for Business Proposal Registration as stipulated in Article 7, Paragraph 4, JETRO assumes no responsibility in connection therewith, and makes no warranty as to the merchantability, fitness for a particular purpose, accuracy, completeness, or accessibility of the information provided for registration on Users’ behalf.

(9) JETRO shall not be liable to User for any disadvantage caused by or in connection with the restriction of use as stipulated in Article 15.

(10) Notwithstanding Article 16, Paragraph 2, JETRO shall not be liable to User beyond its obligations under the same paragraph, even in the event of a System Breach, etc., resulting in the leakage of corporate information, personal information, or any other information.

(11) In addition to the provisions of this Article, JETRO Affiliates shall not be liable to User for any damage incurred by User in the process from the application for the Service to the implementation of the Service.

19 Force Majeure

 JETRO shall not be liable to User for any failure or delay in performance of its obligations under these Terms and Conditions resulting directly or indirectly from natural disasters, labour disputes, terrorism, war, political instability, entry restrictions, infectious diseases or other force majeure or any other cause beyond the control of JETRO.

20 Application Priority

 Should there be any other terms and conditions for the Service or other services provided by JETRO on the Site or elsewhere, they shall also apply. However, in the event of any conflict, the provisions of these Terms and Conditions shall prevail.

21 How to Contact Us

(1) In the event that JETRO deems it necessary to contact User, it will do so by email to the registered email address.

(2) Should User change its regularly used e-mail address, User should contact JETRO with the new e-mail address to change the registration.

(3) In the event of a problem in sending e-mail to User, JETRO will delete the information of such User who cannot be reached, without prior notice to such User by telephone or other means. JETRO will not be held responsible for any resulting disadvantages suffered by User.

22 Languages

 The Japanese language version of these Terms and Conditions shall be the official version, and the Japanese language version shall govern in all disputes arising under these Terms and Conditions.

23 Governing law

 These Terms and Conditions and any rights and obligations derived from them shall be governed by the laws of Japan.

24 Jurisdiction

(1) JETRO and User shall use reasonable endeavours to negotiate and co-operate in good faith to reach a mutually satisfactory settlement of all disputes, controversies or differences of opinion which may arise between JETRO and User from or in connection with these Terms and Conditions.

(2) If, despite the efforts set forth in the preceding paragraph, JETRO and User are unable to reach a resolution, all disputes, controversies or disagreements that may arise between JETRO and User arising out of or in connection with this Agreement shall be resolved by arbitration in Tokyo, Japan, in the English language, in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association. The decision by the arbitration award shall be final and binding, and an enforcement award may be obtained from any court of competent jurisdiction.

25 Amendments to These Terms and Conditions

 JETRO reserves the right to amend these Terms and Conditions at any time by sending an email or posting a notice on the Site at least one (1) month in advance.

Should User continue to register as a User of the Site as of the date of these amendments, User will be deemed to have agreed to these amendments.

26 Residual Clauses

 User’s obligations under these Terms and Conditions will not cease and will continue notwithstanding any termination of the Site, User’s use of the Site, User’s content on the Site, or these Terms and Conditions.

27 Waiver

 The failure of JETRO or User to enforce any provision of these Terms and Conditions at any time or for any period in accordance with its provisions shall not be construed as a waiver of such provision or of the right to enforce such provision subsequently.

28 Severability

 Should any provision of these Terms and Conditions be held to be invalid or illegal, such invalidity or illegality shall not in any way affect, impair the validity of, or invalidate any other provision of these Terms and Conditions, and all other provisions of these Terms and Conditions shall remain in full force and effect.

29 Entire Agreement

 These Terms and Conditions constitute the entire agreement between JETRO and User and replace any previous written or oral agreements or correspondence.
